Terms of Service
These Terms of Service (“Terms”) govern your access to and use of mentionworks.io (the “Site”) and the services offered by MentionWorks LLC (“MentionWorks,” “we,” “us,” or “our”), including LLM mention placements, Reddit comment placements, full campaigns, and white-label fulfillment (collectively, the “Services”). By using the Site or engaging the Services, you agree to these Terms.
1. Eligibility and acceptance
You must be at least 18 years old and authorized to enter into agreements on behalf of any business you represent. If you do not agree to these Terms, do not use the Site or Services. We reserve the right to decline to work with any prospective client at our sole discretion, including following our audit and vetting process.
2. Description of Services
MentionWorks earns brand mentions for clients on third-party sources that large language models cite, and pitches placements on Reddit through relationships with established users and moderators. Specific deliverables, source mix, volume, timing, and pricing are set out in the proposal or statement of work agreed between you and MentionWorks (each, an “Order”).
3. Pricing and payment
Pricing is custom and provided after the free audit. All fees are quoted and payable in U.S. dollars unless otherwise stated. Unless a specific Order says otherwise, fees are billed in advance, are non-transferable, and are due according to the terms set out in the applicable Order. Late payments may incur a service interruption.
4. Audit and vetting
The free LLM Mention Audit is offered at our discretion. We reserve the right to decline to provide an audit or to decline to take on a prospective client following the audit. We may decline to work with any company or category that conflicts with our editorial standards or that we believe may harm the integrity of our work.
5. Reddit and third-party platform policies
We perform Reddit outreach in compliance with Reddit’s User Agreement, Content Policy, and Moderator Guidelines. We do not buy upvotes, operate sockpuppet accounts, or post content that violates platform policies. You agree not to instruct us to act in violation of any third-party platform policy. Similar policies apply to other publishers, social networks, and online communities we work with on your behalf.
6. Your responsibilities
You agree to provide accurate information about your business, including product, pricing, target market, and any legal restrictions on your category. You will not request placements that are misleading, defamatory, fraudulent, infringing, or otherwise unlawful. You are responsible for the truthfulness of any claims you ask us to communicate on your behalf.
7. Restricted categories
We do not provide Services to businesses operating in the following categories: adult content, illegal goods or services, weapons, multi-level marketing, cryptocurrency speculation schemes, gambling not licensed in the relevant jurisdiction, businesses subject to current regulatory enforcement actions, or any business we determine in good faith to be deceptive, fraudulent, or harmful.
8. Intellectual property
All content on the Site is owned by MentionWorks or its licensors. You may not copy, modify, distribute, or otherwise use the Site content except as permitted by these Terms. We grant you a limited, non-exclusive, non-transferable license to use deliverables produced under an Order for your own business purposes.
9. Confidentiality
Information shared during the audit process and any active engagement is treated as confidential. You agree to do the same with non-public materials, processes, source lists, and pricing we share with you. NDAs are available on request.
10. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT SPECIFIC PLACEMENT RESULTS, RANKING OUTCOMES, AI SYSTEM BEHAVIOR, OR THIRD-PARTY EDITORIAL DECISIONS. SEARCH AND AI CITATION SYSTEMS ARE OPERATED BY THIRD PARTIES AND CAN CHANGE AT ANY TIME.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTIONWORKS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless MentionWorks and its officers, employees, and contractors from any third-party claim arising from your business, products, services, content, or instructions given to us, including any claim that materials you provide for placement infringe a third party’s rights or violate applicable law.
13. Termination
Either party may terminate an engagement as set out in the applicable Order. We may suspend or terminate access to the Site or Services at any time, with or without notice, if we believe you have violated these Terms or applicable law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Tarrant County, Texas, and you consent to personal jurisdiction in those courts.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected in the “Last updated” date above. Continued use of the Site or Services after a change constitutes acceptance of the updated Terms.
